This agreement is valid between Decerno, “the Licensor”, and the Customer, “the Licensee”, for the software SEO Toolbox.

Commercial terms — Trial license

Trial Licenses are issued completely free of charge, and expires in 30 days with no payment involved.

Commercial terms — Production license

By accepting these terms, the Licensee agrees to pay the License fee for year 1 plus VAT (where required by law) to the Licensor within 30 days from the date of Invoice.

From license year 2 Licensee agrees to pay a yearly Subscription License fee of 20% of year 1 License cost, to continue to have the right to use SEO Toolbox.

Failure to pay the License fee is considered a breach of this agreement, and ends the Licensee’s right to use SEO Toolbox. Failure to pay the yearly subscription license, will automatically expire the license, meaning it will stop working.

SEO Toolbox license agreement

1. This is an agreement between Licensor and Licensee, who is being licensed to use the named SEO Toolbox software.
2. Licensee acknowledges that this is only a limited non-exclusive license. Licensor is and remains the owner of all titles, rights, and interests in the SEO Toolbox software.
3. This License permits Licensee to install the SEO Toolbox on the licensed number of servers and sites. Licensee will not make copies of the SEO Toolbox or allow copies of the SEO Toolbox to be made by others, unless authorized by this License Agreement. Licensee may make copies of the SEO Toolbox for backup purposes only.
4. SEO Toolbox is subject to a limited warranty. Licensor warrants to Licensee that the SEO Toolbox package distributed is free from defects in materials and workmanship under normal use, SEO Toolbox will perform according to its documentation, and to the best of Licensor’s knowledge Licensee’s use of SEO Toolbox according to the documentation is not an infringement of any third party’s intellectual property rights. This limited warranty lasts for a period of 90 days after delivery. To the extent permitted by law, THE ABOVE-STATED LIMITED WARRANTY REPLACES ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, AND LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, NONINFRINGEMENT, OR OF FITNESS FOR A PARTICULAR PURPOSE. No agent of Licensor is authorized to make any other warranties or to modify this limited warranty. Any action for breach of this limited warranty must be commenced within one year of the expiration of the warranty.
5. Licensee’s yearly license fee covers support to correct possible bugs in SEO Toolbox. Licensee’s yearly license fee also grants access to the latest SEO Toolbox version.
6. In case of a breach of the Limited Warranty, Licensee’s exclusive remedy is as follows: Licensee will return all copies of SEO Toolbox to Licensor, at Licensee’s cost, along with proof of purchase. At Licensor’s option, Licensor will either send Licensee a replacement copy of SEO Toolbox, at Licensor’s expense, or issue a full refund.
7. Licensor has the right to terminate this License Agreement and Licensee’s right to use SEO Toolbox upon any material breach by Licensee.
8. Licensee agrees to return to Licensor or to destroy all copies of SEO Toolbox upon termination of the License.
9. This License Agreement is the entire and exclusive agreement between Licensor and Licensee regarding SEO Toolbox. This License Agreement replaces and supersedes all prior negotiations, dealings, and agreements between Licensor and Licensee regarding SEO Toolbox.
10. This License Agreement is governed by Swedish law.
11. This License Agreement is valid without Licensor’s signature. It becomes effective upon the download of the software and the Licensee’s use of SEO Toolbox.
12. The Licensee’s total and aggregate liability under these terms and agreements shall be limited to the fees paid by the Licensee to the Licensor in the 12-month period immediately preceding the date of claim.
